Acceptance of Terms

Introduction

Blair Health Inc. (U.S.) (“Blair Health,” “we,” or “us”) operates the website www.blairhealth.com and associated mobile applications (collectively, the “Platform”). Your access and use of the Platform, any part thereof, including its content, products, services, and affiliated software, are governed by these Terms of Service (“Agreement”). This includes telehealth services, pharmacy integrations, lab integrations, and other digital health products offered through Blair Health.

Relationship with Providers

Blair Health contracts with licensed healthcare professionals and affiliated medical groups (“Medical Groups”) to provide telehealth services through the Platform. Providers are independent contractors and not employees of Blair Health. Blair Health does not control or interfere with the practice of medicine by Providers. By accepting these Terms, you acknowledge that Blair Health is not a healthcare provider, and that your relationship for medical services is with the Medical Group or individual Providers.

Financial Responsibility

Blair Health and its Medical Groups may not be enrolled in federal or state healthcare programs such as Medicare or Medicaid. By choosing to use the Services, you are opting to obtain services on a cash-pay basis or through limited commercial insurance options, as applicable. You are solely responsible for all costs incurred.

Subscriptions and Services

Certain products and services require a subscription or recurring payment. Your payment method will be automatically charged at regular intervals unless canceled in accordance with our subscription terms. Notifications are provided prior to renewal. Refunds are not guaranteed but may be issued at Blair Health’s sole discretion.

Prescription Products

Some products available through the Platform require a valid prescription by a licensed Provider. Prescriptions can be filled through Blair Health’s integrated pharmacy network or at a pharmacy of your choice. Prescription services are subject to applicable state laws and pharmacy requirements.

Eligibility and Use

Blair Health’s telehealth services are available to individuals located in states where Blair Health is authorized to operate, who are at least 18 years of age or the age of majority in their jurisdiction. By using the Platform, you represent and warrant that you meet these eligibility requirements.

Consent to Telehealth

Telehealth involves electronic communications between you and a Provider. Telehealth is not appropriate for all conditions. By using Blair Health, you consent to the use of telehealth and understand its potential benefits and limitations.

User Responsibilities

You are responsible for maintaining accurate account information, providing truthful medical history, maintaining connectivity for telehealth, and following your Provider’s medical recommendations. Failure to comply may result in suspension or termination of services.

Privacy Policy and PHI

By using Blair Health, you consent to the collection, use, and disclosure of your personal information in accordance with our Privacy Policy. Certain information may be subject to HIPAA and other state-specific privacy laws.

Account Registration & Security

To use Blair Health services, you must create an account. You are responsible for maintaining the confidentiality of your credentials and notifying us of unauthorized access. Blair Health is not liable for unauthorized use of your account.

Intellectual Property

All content on the Blair Health Platform, including text, logos, software, images, and trademarks, is the property of Blair Health or its licensors. You may not reproduce, distribute, or create derivative works without written permission.

Prohibited Uses

You agree not to use the Platform for illegal purposes, interfere with other users, attempt unauthorized access, or engage in fraud. Violations may result in termination and legal action.

Third-Party Goods and Services

Blair Health may make available third-party services including pharmacies and labs. Blair Health is not responsible for any third-party products or services and is not liable for disputes between you and third parties.

Fees, Billing & Taxes

All products are subject to availability. Prices may change at any time. Taxes and shipping costs may apply. Only valid payment methods may be used. You are responsible for ensuring sufficient funds and accurate billing information.

Termination

Blair Health may terminate your use of the Services at any time for violation of these Terms or other reasons. Upon termination, certain sections (e.g., Disclaimers, Indemnification, Arbitration) will survive.

Disclaimer

THE SERVICE IS PROVIDED ON AN “AS IS” BASIS. BLAIR HEALTH AND ITS PROVIDERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE OR UNINTERRUPTED.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BLAIR HEALTH IS NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. LIABILITY IS LIMITED TO THE AMOUNT PAID FOR SERVICES IN THE PRECEDING SIX MONTHS.

Indemnification

You agree to indemnify and hold harmless Blair Health, its affiliates, Medical Groups, Providers, and contractors from any claims, damages, liabilities, or expenses arising from your use of the Services or violation of these Terms.

Arbitration & Class Action Waiver

Any dispute arising out of these Terms shall be resolved through binding arbitration administered by the American Arbitration Association in Delaware. You waive your right to a jury trial and to participate in class actions. You may opt out of arbitration within 30 days of accepting these Terms by sending written notice to legal@blairhealth.com.

Governing Law

These Terms shall be governed by the laws of the State of Delaware and applicable U.S. federal law.

Notices & Electronic Communications

By using the Platform, you consent to receive communications electronically. All agreements, notices, disclosures, and communications satisfy legal requirements to be in writing.
